You are hereby agreeing to be bound by this Registration Agreement and the rules and policies published on the Tohickon Creek Web site from time to time.

CLUB WEB SITE AND TEAM WEB SITES
Tohickon Creek offers a Club Web Site (“Club Site”) and a Team Web Site {“Team Site”). A description of each is available at http://www.tcteams.com/more_club_info.htm and http://www.tcteams.com/more_team_info.htm, respectively.

In exchange for the applicable registration fee(s), Tohickon Creek registrants (“Registrants”) shall be entitled to create and maintain a Club Site and/or Team Site and, in doing so, to use the Tohickon Creek software, databases, and such other proprietary materials as Tohickon Creek may make available from time to time (the “Proprietary Works”).

Tohickon Creek administrators (“Administrators”) also shall be entitled to create and maintain a Team Site through use of the Proprietary Works. Administrators shall be selected by Registrants or shall themselves be Registrants.

The Tohickon Creek Web site, together with the Tohickon Creek services for the creation and maintenance of Club Sites and Team Sites, and the Proprietary Works, are referred to herein as the “Tohickon Creek Services.”

POLICIES
This Registration Agreement, together with our Terms of Use (available at http://www.tcteams.com/terms_of_use), our Privacy Policy (available at http://www.tcteams.com/privacy_policy), and our Notice and Procedure for Making Claims of Copyright Infringement (available at http://www.tcteams.com/copyright.htm) , comprise Tohickon Creek’s rules and policies for our Registrants and Administrators and their users (and are referred to herein as the “Tohickon Creek Policies”), and govern your activities with respect to the Tohickon Creek Services. You agree to comply with the Tohickon Creek Policies, as they be may be amended from time to time. Certain features and services offered by Tohickon Creek and its suppliers may contain additional terms or guidelines that supplement the Tohickon Creek Policies, and may further govern your use of those services. You will have an opportunity to review the additional terms before you sign up or use those services.

Registrants and Administrators are solely responsible for the acts and omissions of their users who use the Club Site and Team Site, and Registrants and Administrators must ensure compliance of users with the Tohickon Creek Policies.

QUALIFICATIONS FOR REGISTRATION
To qualify as a Registrant or Administrator, you must be a U.S. resident, at least 18 years of age, and legally able and authorized to enter into contracts. By agreeing to the terms of this Registration Agreement, you are representing and warranting that you meet the foregoing qualifications

In order for you to become a Registrant or Administrator, Tohickon Creek will request that you provide specific information about you and/or your organization. If you choose to participate and build a Club Site or Team Site, you agree to provide true, accurate and complete information and to refrain from impersonating or falsely representing your affiliation with any person or entity. You shall be responsible for maintaining the confidentiality of your account and password and shall be responsible for any and all transactions by users given access to such account or password and any and all consequences of use or misuse of such account and password. You shall be responsible for all actions by such users, including without limitation former employees and former partners, and shall indemnify and hold harmless Tohickon Creek for such actions as set forth in the “Indemnification” section below.

LIMITS ON USE
You hereby acknowledge that Tohickon Creek may, from time to time, establish general practices and limits concerning the use of the Tohickon Creek Services, including without limitation (a) the maximum number of days that content posted on or through the Club Sites and Team Sites will be retained by Tohickon Creek, (b) the maximum limits on bandwidth usage that will be allotted to Registrants and Administrators, and (c) maximum limits on storage space. Any of the foregoing limits will be consistent with the Tohickon Creek Services (including any upgrades) for which you have registered. You agree that Tohickon Creek has no responsibility or liability for the deletion or failure to store any content maintained or transmitted by the Tohickon Creek Services. You further acknowledge and agree that Tohickon Creek reserves the right to change these general practices and limits at any time, in its sole discretion, with or without notice.

You acknowledge and agree that Tohickon Creek may, from time to time, require you to take or restrain from taking certain action in order to ensure compliance with this Registration Agreement, the Tohickon Creek Policies, and/or applicable law, and you agree to comply with any such demands immediately. Your failure to comply with any such demands may result in termination of this Registration Agreement and/or your use of any Tohickon Creek Services.

SUBMISSIONS AND TRANSMISSIONS
The Tohickon Creek Services include a number of venues designed to enable Team Site users to disseminate and exchange thoughts and opinions to and with other Team Site users. Although Tohickon Creek firmly believes in the value of free and open dissemination and exchanges, it is under no obligation, but does reserve the right, to monitor, pre-screen, or otherwise censor users’ thoughts and opinions. Therefore, Tohickon Creek cannot be responsible for the appropriateness, accuracy, sufficiency, correctness, veracity, completeness, or timeliness of such thoughts and opinions. You acknowledge that you should always use caution when requesting, collecting, or posting any personally identifying information about your users.

Your right to use the Tohickon Creek Services is personal to you and your organization and its employees (if applicable). You, and not Tohickon Creek, are entirely responsible for all information, data, text, software, music, sound, photographs, graphics, video, messages or other materials (“Content”) posted by you or on your behalf and by your users. You, and not Tohickon Creek, are also responsible for compliance with all laws, regulations and ordinances connected with all aspects of your and your users’ use of the Tohickon Creek Service. You shall not use the Tohickon Creek Services for any illegal purpose in violation of any local, state, federal or international law. You must provide all required and appropriate warnings, information and disclosure, comply with all applicable laws and regulations, and take all other required and appropriate actions (collectively, "Information and Actions") in connection with your use of the Tohickon Creek Services. If the Tohickon Creek Services do not provide adequate facility or features for you to provide such Information and Actions, then you shall not use the Tohickon Creek Services.

You further agree that if you collect or use any personally identifying information about children under 13 years of age, you will comply with all applicable consumer protection and privacy laws, including without limitation, the Children’s Online Privacy Protection Act and the rules and regulations promulgated thereunder (“COPPA”). For information regarding COPPA and policies and procedures for compliance therewith, please visit the Federal Trade Commission’s Web site pages regarding COPPA, including: http://business.ftc.gov/documents/Complying-with-COPPA-Frequently-Asked-Questions.

Tohickon Creek reserves the right, but is not obligated to review the Content posted via the Tohickon Creek Services and to refuse or remove any such materials in its sole discretion, without notice at any time. Tohickon Creek also reserves the right to disclose any information or materials as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or remove any information or materials, in whole or in part, from the Content in Tohickon Creek's sole discretion. With respect to the Content, You agree not to, directly or indirectly:

You agree that Tohickon Creek is not responsible for any e-mail or attachments that are blocked or deleted for any reason and that you have no right, and Tohickon Creek has no obligation, to retrieve or access any such deleted or blocked e-mail or attachments. You further agree that Tohickon Creek is not responsible for any e-mail or attachments that it fails to block or delete, even if such e-mail or attachments contain viruses or are otherwise harmful to you or your users’ computer.

BILLING AND CHARGES
You agree to pay your account balance on time. You also agrees to pay any taxes, including sales or use taxes, resulting from your use of the Tohickon Creek Service.

Tohickon Creek accepts payments by personal check, company check, and money order. All funds must be payable in U.S. dollars. Tohickon Creek does not accept international checks in foreign currencies. Payment for services by check or money order must be received, in the case of a free trial period, prior to the expiration of the free trial period, or, in the case of a subscription renewal, prior to the subscription expiration date.

In the event that a check is returned to Tohickon Creek due to insufficient funds (or otherwise), service will be immediately suspended and you will be sent a suspension notice via email allowing you seven (7) days to rectify the situation. If within the seven (7) days you fail to pay all service fees, including a $25.00 returned check fee, your account will be permanently cancelled. Such cancellation does not relieve your obligation for payment of the returned check fee. Cancellation includes the removal of all files relating to your account.

Tohickon Creek will send you a statement for each billing period. Statements will show: (1) payments, credits, purchases, and any other charges to your account, (2) the amount you owe us, and (3) the payment due date. If payment has not been received by the payment due date, your account will be suspended without exception. Upon suspension, Tohickon Creek will send you an e-mail notice of suspension. You will have the option of reactivating your account after paying the full amount of the statement due. If payment in full is not received within seven (7) days of the account suspension, the account will be permanently cancelled. This includes the removal of all files relating to the account.

You are responsible for ensuring that your billing information is updated. You can update your billing information by logging into your Team Site or Club Site, whichever is the case, and clicking on the “Update Billing Info” hyperlink.

Tohickon Creek reserves the right to change any fees (which includes but is not limited to, charging a fee for packages, options, upgrades and/or a Tohickon Creek Service for which Tohickon Creek does not currently charge a fee) or billing methods at any time; provided, however, that such modifications shall not take effect earlier than thirty (30) days after Tohickon Creek posts such modification on the Tohickon Creek Web site. Tohickon Creek also has the right to collect applicable taxes and impose premium surcharges for some areas of the Tohickon Creek Services and these surcharges may apply immediately after you register for the Tohickon Creek Service. You may cancel any Tohickon Creek Service upgrades or your account at any time, and Tohickon Creek will refund any remaining portion of your pre-paid fees when you cancel such upgrades or your account.

COMMUNICATIONS CHARGES; COMPLIANCE WITH OPERATING ENVIRONMENT
You are responsible for obtaining and maintaining at your expense all equipment and services needed to access the Tohickon Creek Services.

You must have an operating environment that meets Tohickon Creek’s operating requirements, and you agree to comply with all operating instructions provided from time to time by Tohickon Creek and its suppliers.

CHANGES TO THE SERVICE
Tohickon Creek in its sole discretion may change or discontinue any or all aspects of the Tohickon Creek Services without notice, including access to support services, content and other products or services ancillary to the Tohickon Creek Services.

Tohickon Creek may modify this Registration Agreement, change its fees and change its billing methods at any time. Tohickon Creek will provide you with reasonable advance notice of any change in pricing or material changes to the Registration Agreement by posting the change on our Web site. If you disagree with any proposed change, your sole remedy is to cancel your Registration before such change takes effect. Otherwise, you will be bound by the revised terms if you keep your Registration. Tohickon Creek will not refund any charges if you choose to cancel your Registration for this reason.

Tohickon Creek reserves the right to log off accounts that are in default for an extended period of time and you may not use tools that defeat Tohickon Creek’s automatic log-off feature.

LICENSE
Tohickon Creek and its suppliers grant you a personal, non-exclusive, non-transferable, limited license to install any Proprietary Works made available to you by Tohickon Creek or a supplier (whether preinstalled, given on any medium, provided by download or upgrade, or otherwise made available online) that enable you to access and use Tohickon Creek Services and to use the Proprietary Works to connect to and use the Tohickon Creek Services in accordance with this Registration Agreement. Tohickon Creek occasionally may provide automatic software and technology upgrades to improve your experience although these upgrades may not be consistent across all platforms and devices. You agree to accept and to take no action to interfere with such automatic upgrades, scanning, and related services.

You may only use the Proprietary Works to access and use Tohickon Creek Services. You may not copy the Proprietary Works, except to install them, as applicable, on your computer or other approved devices. You may not sell the Proprietary Works or incorporate them (or any portion thereof) into another product. You may not reverse engineer, decompile or disassemble the Proprietary Works or otherwise attempt to derive the source code. You may not obtain the communications protocol for accessing Tohickon Creek Services, unless expressly authorized by Tohickon Creek. You may not modify, adapt or create derivative works from the Proprietary Works in any way or remove proprietary notices in the Proprietary Works. You agree to abide by all laws and regulations in effect regarding your use of the Software and the Tohickon Creek services. Finally, you may not authorize or assist any third party to do any of the things described in this section.

Any software comprising the Proprietary Works is a “commercial item,” as that term is defined in 48 C.F.R. 2.101, consisting of “commercial computer software” and “commercial computer software documentation,” as such terms are used in 48 C.F.R. 12.212. Consistent with 48 C.F.R. 12.212 and 48 C.F.R. 227.7202-1 through 227.7202-4, all U.S. Government end users acquire the software with only those rights set forth herein.

DISCLAIMER OF WARRANTIES
YOUR USE OF THE TOHICKON CREEK SERVICES AND THE INTERNET IS AT YOUR SOLE RISK. THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE TOHICKON CREEK SERVICES MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. TOHICKON CREEK AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE TOHICKON CREEK SERVICES AT ANY TIME. ADVICE RECEIVED VIA THE TOHICKON CREEK SERVICES SHOULD NOT BE RELIED UPON FOR PERSONAL, MEDICAL, LEGAL OR FINANCIAL DECISIONS AND YOU SHOULD CONSULT AN APPROPRIATE PROFESSIONAL FOR SPECIFIC ADVICE TAILORED TO YOUR SITUATION.

TOHICKON CREEK AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED INFORMAITON OR MATERIALS CONTAINED ON OR THROUGH THE TOHICKON CREEK SERVICES FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED INFORMATION AND MATERIALS ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. TOHICKON CREEK AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED INFORMAITON ANDMATERIALS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TOHICKON CREEK AND/OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE TOHICKON CREEK SERVICES, WITH THE DELAY OR INABILITY TO USE THE TOHICKON CREEK SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED INFORMATION AND MATERIALS OBTAINED THROUGH THE TOHICKON CREEK SERVICES, OR OTHERWISE ARISING OUT OF THE USE OF THE TOHICKON CREEK SERVICES , WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF TOHICKON CREEK OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. IN NO EVENT WILL TOHICKON CREEK’S AGGREGATE LIABILITY TO ANY OTHER USER ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE TOHICKON CREEK SERVICES EXCEED AMOUNTS PAID TO TOHICKON CREEK BY SUCH USER DURING THE THREE MONTH PERIOD IMMEDIATELY PRECEDING THE DATE ON WHICH THE LIABILITY AROSE. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE TOHICKON CREEK SERVICES, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE TOHICKON CREEK SERVICES.

Without limiting the foregoing, neither Tohickon Creek nor its suppliers is responsible for any of your data transmitted or stored through the Tohickon Creek Services or Tohickon Creek's suppliers' hardware. You are responsible for backing-up your data and information, whether or not such information is produced, transmitted, or stored through the use of the Tohickon Creek Services.

INDEMNIFICATION
Upon a request by Tohickon Creek, you agree to defend, indemnify and hold harmless Tohickon Creek, its suppliers, and Tohickon Creek’s affiliates, and their respective officers, directors, employees and agents from all liabilities, claims and expenses, including attorneys’ fees, that arise from a breach by you or your users’ of the Tohickon Creek Policies or violation of any applicable law, or from your or your users’ use of a Tohickon Creek Service, or in connection with your or your users’ transmission of any content on or through a Tohickon Creek Service. Tohickon Creek reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

These obligations will survive any termination of your relationship with Tohickon Creek or your use of the Tohickon Creek Services. To the fullest extent permitted by law, the foregoing indemnity will apply regardless of any fault, negligence, or breach of warranty or contract of Tohickon Creek and/or its suppliers, affiliates, partners, subsidiaries and employees.

TERMINATION
Either you may cancel or Tohickon Creek may terminate your registration at any time. You can cancel your registration by sending an email to cancel@tcteams.com, by sending a fax to (888) 946-5536, or by sending a letter to Tohickon Creek’s Customer Services Department at P.O. Box 444 , Fountainville , PA 18923-9998 . You must provide your URL and your billing address in such correspondence. Cancellation will take effect within 72 hours of receipt of your request and your cancellation will become effective at the end of the month in which you provided notice of cancellation. Tohickon Creek will send you an email confirmation of your cancellation. If you cancel your Registration Tohickon Creek will refund to you the pro rata portion of your pre-paid registration fee.

Except as otherwise provided in this Registration Agreement, cancellation of your account is your sole right and remedy with respect to any dispute with Tohickon Creek. This includes, but is not limited to, any dispute related to, or arising out of: (1) any term of this Registration Agreement or Tohickon Creek’s enforcement or application of this Registration Agreement; (2) any Tohickon Creek Policy, or Tohickon Creek’s enforcement or application thereof; (3) the content available through any Tohickon Creek Service or any change in content provided by Tohickon Creek; (4) your ability to access and/or use any Tohickon Creek Service; or (5) the amount or type of fees, surcharges, applicable taxes, billing methods, or any change to the fees, applicable taxes, surcharges or billing methods.

In the event that your account is terminated or canceled, all electronic files and records associated with your account shall be deleted.

GENERAL LEGAL TERMS
This Registration Agreement, the terms provided at registration, the billing terms posted on the Tohickon Creek Web site, and the Tohickon Creek Policies constitute the entire and only agreement regarding your Tohickon Creek account. This Registration Agreement supersedes all representations, agreements and other communications regarding your registration. Only Tohickon Creek can amend this Registration Agreement by posting the changes on the Tohickon Creek Web site. If any term of this Registration Agreement is found by a court of competent jurisdiction to be invalid, illegal or unenforceable, the term shall be considered to be stricken from this Registration Agreement as if it had not been included from the beginning and the remainder of the Registration Agreement enforced according to its terms.

You agree that this Registration Agreement is not intended to confer and does not confer any rights or remedies from Tohickon Creek upon any person other than you. You also agree that the Tohickon Creek Policies, including Tohickon Creek’s enforcement of those policies, are not intended to confer, and do not confer, any rights or remedies upon any person.

The laws of the Commonwealth of Pennsylvania , excluding its conflicts-of-law rules, govern this Registration Agreement and your registration. You expressly agree that exclusive jurisdiction for any claim or dispute with Tohickon Creek or relating in any way to your registration or your use of the Tohickon Creek Services resides in the courts of Philadelphia, Pennsylvania, and you further agree and expressly consent to the exercise of personal jurisdiction in the courts of Philadelphia, Pennsylvania in connection with any such dispute including any claim involving Tohickon Creek or the Tohickon Creek Services. The foregoing provision may not apply to you depending on the laws of your jurisdiction. This Agreement shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods.

By affirmatively signing up for a Tohickon Creek Service, you consent to receive all communications, including notices, agreements, legally required disclosures or other information in connection with any Tohickon Creek Services electronically from Tohickon Creek (collectively, “Notices”). You agree that Tohickon Creek generally can send you electronic Notices by (1) e-mail to your designated email address, and/or (2) by “pop up notice” through a Tohickon Creek Service and/or by (3) posting the Notices on a main page or channel page of the relevant service. You agree that certain supplemental or enhanced services made available to Tohickon Creek Registrants and Administrators may also have their own Notice procedures. The delivery of any Notice from Tohickon Creek is effective when sent by Tohickon Creek, regardless of whether you read the communication when you receive it. You may withdraw your consent to receive notices electronically by sending an email to support@tcteams.com; however, if you choose to withdraw consent, Tohickon Creek may terminate this Registration Agreement and your access to any Tohickon Creek Services. All agreements and terms may be completed electronically and will be deemed for all legal purposes to be in writing and legally enforceable as a signed writing.

Tohickon Creek may assign this Registration Agreement, in whole or in part, at any time with or without notice to you. You may not assign this Registration Agreement, or assign, transfer or sublicense your rights, if any. Any attempted assignment by you contrary to the foregoing shall be null and void.

The section titles in this Registration Agreement are solely used for the convenience of the parties and have no legal or contractual significance.

Each party is an independent contractor and not an agent or representative of any other party. This Agreement shall not be interpreted or construed to create an association, joint venture or partnership between the parties or to impose any partnership obligation or liability upon any party.

The parties acknowledge and agree that this Agreement may be entered into electronically, and without the necessity of written signatures.

YOU AGREE THAT ANY CAUSE OF ACTION TO BE BROUGHT BY YOU OR ON YOUR BEHALF ARISING OUT OF OR RELATED TO THIS REGISTRATION AGREEMENT OR THE TOHICKON CREEK OR SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT AND ALL RELATED WEB PAGES REFERENCED AND INCORPORATED IN THIS AGREEMENT AND THAT YOU AGREE TO ALL ITS TERMS AND CONDITIONS. YOU HAVE INDEPENDENTLY EVALUATED ALL ASPECTS OF THIS AGREEMENT AND THE DESIRABILITY OF ENTERING INTO THE TRANSACTIONS CONTEMPLATED IN THIS AGREEMENT AND ARE NOT RELYING ON ANY REPRESENTATION, GUARANTEE OR STATEMENT OTHER THAN THOSE EXPRESSLY SET FORTH IN THIS AGREEMENT.

All references to Tohickon Creek in these Terms of Use are intended to include McG Properties, LLC, the legal owner and operator of Tohickon Creek.
